AI Album Studio — End User License Agreement (EULA)

This document is available in English and Italian (switch with the IT/EN links at the top). If the two versions differ, the English version prevails. This is the same text the software shows at first launch (Windows and Mac) and that the Windows installer shows before you install the software.

PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE INSTALLING OR USING AI ALBUM STUDIO. By clicking "I accept", or by installing, copying, or otherwise using the software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the software.

This Agreement is a legal agreement between you, either an individual or a single legal entity ("you" or "Licensee"), and AIAS di Del Mutolo Nicola, with registered address at Via Ronco 36, Massarosa (LU), Italy, VAT number IT02775620467 ("we", "us", "Licensor"), governing your use of the AI Album Studio desktop software, including its Adobe Lightroom Classic plugin and any associated documentation (together, the "Software").

This Agreement governs your right to install and use the Software itself. Your account, any packages or credits you purchase, trial periods, pricing, payment, refunds, and your relationship with us as an online service are instead governed by our Terms of Service, which forms part of the overall agreement between you and us. Where this Agreement and the Terms of Service overlap, the Terms of Service govern the commercial relationship and this Agreement governs your rights and obligations regarding the Software itself.

1. Grant of license

Subject to your compliance with this Agreement and to an active, valid license (whether a paid package or a free trial, as described in our Terms of Service), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software, in executable form only, on the number of workstations included in your license package, for your own internal business purposes as a photography studio or professional photographer.

This license is granted to the studio or business entity registered under your account, not to any individual workstation or person specifically. You may move your installation between workstations up to the limit included in your package, subject to the license-verification mechanism described in Section 4.

2. License restrictions

Except as expressly permitted by this Agreement or by applicable law notwithstanding this restriction, you agree not to, and not to permit any third party to:

3. Ownership and intellectual property

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant you any rights to our trademarks, trade names, or logos.

You retain full ownership of, and all rights in, the photographs you process with the Software and the albums you create using it. We claim no ownership over your content and do not access, view, or retain your photographs except as necessary to provide the AI-assisted features you actively request, as described in our Privacy Policy.

The Software may include or rely on third-party open-source components, each licensed under its own terms. Nothing in this Agreement limits any rights granted to you under those third-party licenses, and nothing in those licenses limits your obligations under this Agreement with respect to the Software as a whole.

4. Internet connection and license verification

The Software requires an active internet connection to verify your license against our license-verification server, and specific AI-assisted features additionally require an active internet connection to perform the requested processing. The Software is not designed to, and will not, function without a valid and active license, verified online. Certain non-AI ("Classic") features may remain available, tolerant of brief connectivity interruptions, as described in our Terms of Service; this does not create any right to use the Software indefinitely without ever verifying your license online.

5. Updates

We may from time to time make updates, patches, or new versions of the Software available ("Updates"). Updates may add, change, or remove features, and this Agreement applies to any Update we provide, unless the Update is accompanied by a separate license, in which case that separate license governs.

You acknowledge that: (a) the Software may check, automatically or upon your action, whether a newer version is available, and may notify you within the Software interface; (b) some Updates may be designated as mandatory, at our discretion, typically because they address a security issue or because an older version of the Software has become incompatible with the server-side infrastructure the Software depends on; where an Update is designated as mandatory, we may prevent the Software from being used until the Update is installed; (c) we do not guarantee that any specific version of the Software will continue to be supported, or will continue to interoperate with our servers, indefinitely.

6. Trial license

If you are using the Software under a free trial, your license is further limited in duration and scope as described in our Terms of Service, and we may modify, suspend, or discontinue trial access at our discretion without liability to you, without affecting any paid license you may separately hold.

7. Term and termination

This Agreement is effective from the moment you first install or use the Software and remains in effect until terminated. It terminates automatically if your free trial ends without the purchase of a package, if your license is revoked or terminated under our Terms of Service, or if you breach any term of this Agreement. When a paid package expires and is not renewed, this Agreement remains in effect only for the features that the Terms of Service describe as still available after expiry (manual layout and use of the albums already created).

Upon termination, you must stop using the Software and, if we request it, uninstall it and destroy any copies in your possession. Sections 2, 3, 8, 9, 10, and 12 of this Agreement survive termination.

8. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be uninterrupted or error-free, that defects will be corrected, or that the AI-generated suggestions or layouts produced by the Software will meet your expectations or be free of errors; the Software assists with, but does not replace, your own professional judgment and final review of any album before delivery to your own clients. Nothing in this section limits any warranty that cannot be excluded under applicable law, including mandatory consumer-protection warranties where applicable.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of, or inability to use, the Software, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or related to this Agreement will not exceed the amount you actually paid us for the license giving rise to the claim in the twelve (12) months preceding the event giving rise to liability. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

You are solely responsible for maintaining your own backups of your photographs and album projects. We are not responsible for any loss of, or damage to, your content.

10. Export compliance

You agree to comply with all applicable export control and economic sanctions laws and regulations, and represent that you are not located in, under the control of, or a national or resident of any country or party subject to applicable trade restrictions or sanctions that would prohibit your receipt of the Software.

11. Governing law and jurisdiction

This Agreement is governed by the laws of Italy, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement that cannot be resolved amicably will be subject to the exclusive jurisdiction of the Court of Lucca, Italy, without prejudice to any mandatory consumer-protection rights you may have under the law of your own country of residence, which nothing in this Agreement limits.

12. General

If any provision of this Agreement is held to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be replaced by an enforceable provision that most closely reflects its original intent. Our failure to enforce any right or provision of this Agreement is not a waiver of that right or provision. You may not assign this Agreement, in whole or in part, without our prior written consent; we may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of our assets. This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and us regarding the Software, and supersedes any prior agreements regarding the Software.
